ch287 would be covered by the standard clause restraint of trade, resigning from a company just taken over would prohibit someone from starting a new company from scratch, otherwise people would set up a dummy company sell it and then resign rinse and repeat,  restraint of trade prohibits this and is a standard clause in contracts.
